Terms and conditions
Last updated 25 October 2026
Clear terms for using this website and for working with us: scope agreed in writing, you own what we build for you, people stay in control of AI outputs, and both sides keep each other's information confidential.
01About these terms
These terms apply to your use of this website (Part A) and to services Shapes provides to clients (Part B). By using the website or engaging us, you agree to them.
For services, the documents apply in this order: a signed client agreement, then the accepted proposal or statement of work, then these terms. A term in a higher document overrides a conflicting term in a lower one.
02Part A: Using this website
The website describes our services and how we work. Its content is general information, not advice, and is not an offer to provide a particular service, price, or timeline. Workflow pages and walkthroughs show how we typically approach a problem; every project is scoped to the client's own process.
You agree not to:
- attempt to gain unauthorised access to the website or the systems behind it;
- interfere with its operation, including through excessive automated requests;
- use it to send unlawful, harmful, or misleading content, including through the enquiry form.
The website's text, design, diagrams, and code belong to Shapes. You may share links and quote short extracts with attribution. Platform names and logos belong to their owners and are shown only to say which tools we can work with; they do not imply a partnership or endorsement. Links to other services are provided for convenience and those services are governed by their own terms.
We work to keep the website available and accurate, but we do not guarantee that it will always be uninterrupted, error-free, or up to date. Sending a message or booking a call does not create a client relationship or any obligation on either side.
03Part B: Proposals and scope
Each engagement is defined in a proposal or statement of work that sets out the scope, deliverables, assumptions, timeline, fees, and any support. Work starts once the client has accepted it in writing.
Proposals are valid for 30 days from the date they are issued unless they state otherwise. Estimates in conversations or early emails are indicative only; the written proposal is what binds both parties.
Changes to scope are agreed in writing before they are carried out, together with any effect on fees or timeline. Email is enough for this.
04Fees and payment
- Fees, payment milestones, and currency are set out in the proposal. Fees exclude applicable taxes.
- Invoices are payable within the period stated on the invoice, or 14 days from issue if none is stated.
- We may pause work while an invoice is overdue, after giving notice.
- Subscriptions to third-party services used by the workflows, such as n8n, AI model providers, hosting, and business applications, are held and paid for by the client unless the proposal states otherwise.
05Client responsibilities
To deliver well, we rely on the client to:
- provide timely access to the systems, people, examples, and decisions the project needs;
- make sure it has the right to use the data and systems involved, including a lawful basis for any personal data;
- hold the licences and accounts needed for third-party tools, including n8n and AI providers;
- review and test deliverables before relying on them in day-to-day operations.
Delays in access or decisions may move the timeline, and we will tell the client when that happens.
06Testing, acceptance, and handover
Before handover, we test each workflow against the cases agreed in the proposal, using the client's real examples where available. The client then has the review period stated in the proposal, or 10 business days if none is stated, to confirm that the deliverable works as agreed or to tell us in writing what does not.
We fix reported issues that fall within the agreed scope and resubmit them for review. A deliverable is accepted when the client confirms it, when the review period passes without a written report of an issue, or when the client starts using it in day-to-day operations.
Handover includes the documentation, credentials, and training set out in the proposal. Once the engagement ends, we remove our access to client systems on request.
07Ownership of the work
Once the related fees are paid in full, the client owns the workflows, configurations, documentation, and other deliverables created specifically for it.
Shapes keeps ownership of its pre-existing materials, know-how, and reusable components and templates. Where these form part of a deliverable, the client receives a perpetual, non-exclusive, royalty-free licence to use and modify them as part of that deliverable. Third-party software, including n8n, remains subject to its own licence.
08AI and automation outputs
AI models can produce inaccurate or incomplete results. We design workflows with validation, logging, and human review where the impact of an error warrants it, and document where those checkpoints sit.
The client remains responsible for decisions made using a workflow's outputs and for how it operates the workflows after handover. Our services do not include legal, financial, tax, or medical advice.
09Third-party services
Workflows depend on platforms and APIs we do not control. Their availability, features, pricing, and terms may change, and a change may require a workflow to be updated. Updates are covered by a managed support plan where one is in place, and otherwise quoted as a change.
10Quality and defects
We perform our services with reasonable skill and care. If a deliverable does not work as agreed in the proposal and the client tells us within the warranty period stated there, we will fix it at no extra charge. Except as set out in these terms and the proposal, services are provided without other warranties, to the extent the law allows.
11Liability
- Nothing in these terms limits liability that cannot be limited by law.
- Neither party is liable for indirect or consequential loss, or for loss of profit, revenue, or goodwill, however it arises.
- Each party's total liability arising from an engagement is limited to the fees paid or payable under that engagement in the twelve months before the event giving rise to the claim.
12Confidentiality
Each party keeps the other's confidential information confidential, uses it only for the engagement, and shares it only with people who need it and are bound by the same duty. This continues after the engagement ends. It does not apply to information that is public, already known, independently developed, or that must be disclosed by law.
13References and publicity
We do not name a client, use its logo, or publish details of its project without its written permission. Where a client agrees to a case study or reference, it approves the final wording before anything is published and can withdraw permission for future use at any time.
14Data protection
Personal data handled during an engagement is processed under our Customer privacy policy and, where signed, a data processing agreement. Information collected through this website is covered by our Privacy policy.
15Ending an engagement
- Either party may end an engagement if the other materially breaches it and does not fix the breach within 30 days of written notice.
- Managed support plans end in line with the notice period stated in the plan.
- On ending, the client pays for work done up to that date, and we hand over completed work and remove our access when asked.
16General
- Neither party is responsible for delays caused by events beyond its reasonable control.
- Shapes acts as an independent contractor.
- Neither party may transfer an engagement without the other's consent, which will not be unreasonably withheld.
- If any term is found unenforceable, the rest remain in effect.
- The governing law and courts for an engagement are those set out in the proposal or client agreement. Mandatory protections under the law where you are based are not affected.
- Notices about an engagement may be sent by email to the contacts named in the proposal, and take effect when received during business hours.
- The client agreement, proposal, and these terms together form the entire agreement for an engagement and replace earlier discussions about it.
- A failure or delay in enforcing a term is not a waiver of it.
- We may update these terms; changes do not affect engagements already accepted unless both parties agree.
